Terms of Service
These terms govern the use of this site and engagements with Mative Inc. Project-specific terms are set out in a separate signed statement of work.
Acceptance
By using this site or entering into an engagement with Mative Inc (“Mative”, “we”), you agree to these terms. If you don’t agree, please don’t use the site or sign an engagement.
Services
Mative provides design, engineering, AI, integration and operational services for digital systems. Specific scope, deliverables, timeline and pricing for any project are governed by a separate written statement of work (SOW) signed by both parties.
These terms apply to the relationship in general; the SOW takes precedence on anything project-specific.
Engagement scope
Each engagement begins with a written brief and a delivery plan. Changes to scope are agreed in writing and may affect timeline or pricing, nothing is invoiced as a surprise.
Either party may pause or end an engagement with the notice period specified in the SOW. Work completed up to the end date is billable.
Intellectual property
On full payment of all fees, the client owns the deliverables built specifically for them under the engagement, code, designs and documentation.
Mative retains ownership of its pre-existing tools, internal libraries, methodology, know-how and any reusable components that predate or sit outside the engagement. The client is granted a perpetual, royalty-free licence to use those components as embedded in the deliverables.
Confidentiality
Both parties agree to treat non-public information shared during the engagement as confidential and to use it only for the purposes of the engagement. This obligation survives the end of the engagement.
Warranties
Mative warrants that work will be performed in a professional manner, consistent with industry standards. Beyond that, deliverables are provided “as is”, no implied warranty of merchantability or fitness for a particular purpose, except where required by law.
Liability
To the maximum extent permitted by law, Mative’s total liability for any claim arising out of an engagement is capped at the fees paid under that engagement in the twelve months preceding the claim.
Neither party is liable for indirect, incidental, special or consequential damages, including lost profits or revenue.
Changes & contact
These terms may be updated from time to time. The version in effect when an engagement is signed governs that engagement. The last-updated date is shown at the top of this page.
